These Terms and Conditions (“Terms”) govern your access to and use of https://roguerootssolutions.net/, including its website content, professional services, consultations, online purchases, and associated resources.

By accessing our website, purchasing our products, or engaging our professional services, you agree to these Terms, as applicable.

Please read them carefully before using our services.

  • Client communication and relationship management.
  • Workflow optimization and process documentation.
  • CRM setup and organization.
  • Standard Operating Procedure (SOP) development.
  • Project coordination and operational support.

2. Eligibility and Website Use

By using our website or purchasing our services, you confirm that you are at least 18 years old or otherwise legally authorized to enter into a binding agreement.

You agree to use our website only for lawful purposes and not to interfere with its functionality, security, content, or other users.

Unauthorized access, fraudulent transactions, distribution of malicious software, and misuse of website resources are strictly prohibited.

3. Professional Services and Engagement

Our services are offered through ongoing support packages, one-time projects, and consulting arrangements.

The specific scope of services, expected deliverables, fees, working hours, and project requirements will be discussed during the consultation or onboarding process and confirmed through an applicable agreement, proposal, or invoice.

Where a separate written service agreement exists, its specific provisions will take precedence over these general website Terms in the event of a conflict.

A discovery call, website inquiry, or consultation request does not automatically establish a professional client relationship or guarantee service availability.

We reserve the right to decline projects that fall outside our expertise, available capacity, or professional standards, subject to applicable law.

4. Service Packages and Working Hours

Ongoing support packages provide a specified allocation of professional assistance based on the selected package.

Package selection is finalized after discussing the client’s operational requirements, priorities, and anticipated workload.

Clients may request additional support beyond their allocated hours. Additional work is subject to availability, approval, and any applicable fees.

Additional administrative assistance is currently advertised in five-hour increments at $325 per block.

Any unused hours, rollover arrangements, scheduling requirements, or package adjustments will be governed by the specific terms agreed upon during onboarding.

Work outside the approved scope may require a revised proposal or additional charges.

5. Pricing and Payment Terms

All prices displayed on our website are in United States Dollars (USD), unless otherwise specified.

We make reasonable efforts to ensure that our published pricing is accurate. However, prices, package details, and service availability may be updated periodically.

For ongoing support packages, associated fees are collected before the commencement of work each month, as stated on our Services page.

A one-time client onboarding fee of $100 may also apply, where specified in the agreed service arrangement.

Our published standard invoice terms provide that invoices are due within 15 days of receipt. Payments received more than 10 days after the agreed due date may be subject to a late fee of 10% of the outstanding balance, where permitted by applicable law and the applicable agreement.

Services may be suspended until outstanding payments have been resolved.

Any alternative payment schedule, installment arrangement, or project-specific billing condition must be confirmed separately in writing.

6. Consultations and Appointments

Consultations and discovery sessions may be scheduled through our website or designated booking platform.

Clients are responsible for providing accurate contact information, attending confirmed appointments, and communicating relevant project requirements.

If you need to reschedule or cancel an appointment, please notify us as early as reasonably possible.

Any cancellation fees, missed appointment conditions, or rescheduling restrictions for paid consultations will be communicated through the applicable booking terms or service agreement before purchase.

A consultation may provide professional recommendations, operational guidance, or strategic suggestions. Implementation of those recommendations remains the client’s responsibility unless implementation services have been separately agreed upon.

7. Client Responsibilities

To ensure successful collaboration, clients agree to:

  • Provide accurate and complete information relevant to the requested services.
  • Communicate their expectations, priorities, and deadlines clearly.
  • Provide timely feedback, approvals, and necessary project materials.
  • Grant appropriate access to business platforms and systems when required.
  • Maintain ownership and control of their business accounts.
  • Comply with applicable laws when providing customer, employee, or other third-party information.
  • Maintain appropriate backups of essential business records and documents.

Delays in providing necessary information or approvals may affect project timelines and service delivery.

Rogue Roots Solutions is not responsible for delays directly resulting from incomplete information, restricted access, or circumstances outside our reasonable control.

8. Confidentiality and Account Access

Our work may require authorized access to confidential business information, customer records, internal documentation, operational systems, and communication platforms.

We recognize the importance of maintaining professional confidentiality and will use information provided by clients only for authorized business activities and agreed service delivery.

Clients should provide access through secure, appropriate methods and avoid unnecessarily sharing sensitive passwords or financial credentials.

Where necessary, confidentiality obligations may be further established through a separate nondisclosure agreement or service contract.

9. One-Time Projects and Deliverables

One-time service packages may include audits, workflow documentation, operational setup, consulting, templates, and related project deliverables.

The deliverables for each project will be determined by the purchased package and any additional written agreement.

Requests outside the agreed scope, including additional revisions, new deliverables, expanded integrations, or substantial project changes, may result in additional fees.

Estimated delivery timelines are based on project complexity, client cooperation, and the availability of any required third-party services.

10. Third-Party Services and Collaborations

Certain packages may include services or products delivered in collaboration with independent third-party businesses or technology providers.

For example, the Thrive Package currently advertises website development, hosting, domain-related services, branding, and marketing technology contracted through Cerdan Studio, alongside administrative support and consulting provided by Rogue Roots Solutions.

Services delivered by an independent provider may be subject to that provider’s own agreements, service limitations, privacy policies, billing arrangements, and support terms.

Any applicable third-party responsibilities should be identified in the relevant project proposal or service agreement.

Rogue Roots Solutions does not independently guarantee the uninterrupted performance or availability of external platforms, hosting providers, software tools, or services outside its reasonable control.

11. Digital Products and Online Shop

Our website offers digital resources designed to help business owners improve productivity, organization, and professional presentation.

These products may include planners, business templates, editable designs, and other downloadable materials.

Upon successful purchase, customers receive access to the purchased digital product according to the delivery instructions provided at checkout or in the order confirmation.

Digital products are intended for the purchaser’s own personal or internal business use unless otherwise stated in the product description.

Purchasing a digital product does not transfer ownership of its underlying intellectual property.

12. Digital Product Licensing

Unless expressly stated otherwise, digital product purchases provide a limited, nonexclusive, nontransferable license to use the purchased materials for personal or internal business purposes.

Customers may customize editable templates for their own legitimate business activities, subject to any applicable third-party licensing terms.

Customers may not:

  • Resell the original template or digital file as a standalone product.
  • Redistribute purchased files for free or commercial purposes.
  • Upload products to competing template marketplaces.
  • Claim ownership of the original design or underlying intellectual property.
  • Share download access publicly without permission.

Products created using third-party platforms, including Canva, may also be subject to those platforms’ applicable licensing terms.

13. Refunds and Cancellations

Refund requests for professional services will be evaluated in accordance with the applicable service agreement, the stage of work completed, payments already earned, and any mandatory consumer protection laws.

Unless otherwise agreed in writing, commencement of a service does not automatically entitle the customer to a full refund.

For digital purchases, customers should review product descriptions and compatibility requirements before completing their purchase.

If a purchased digital file is defective, inaccessible, or materially different from its advertised description, customers should contact us so we can investigate and provide an appropriate remedy.

Nothing in these Terms excludes refund, cancellation, or statutory rights that cannot lawfully be waived.

Cancellation procedures for recurring support arrangements will be governed by the applicable client agreement.

14. Intellectual Property

Unless otherwise stated, the content displayed on this website, including original text, graphics, branding, logos, layouts, templates, and educational resources, belongs to Rogue Roots Solutions or its respective licensors.

Website materials may not be copied, reproduced, republished, distributed, or commercially exploited without appropriate authorization.

Ownership and permitted use of customized client deliverables will be determined by the relevant service agreement.

Clients retain ownership of their preexisting business materials, trademarks, documents, customer information, and proprietary content.

15. Professional Advice Disclaimer

Rogue Roots Solutions provides operational, administrative, and business consulting support.

Our recommendations are intended to help clients improve organization, efficiency, business processes, and operational decision-making.

We do not guarantee specific business results, financial growth, revenue increases, customer acquisition, or operational performance.

Unless expressly agreed with an appropriately qualified professional, our services do not constitute legal, tax, investment, or regulated financial advice.

Clients remain responsible for their independent business decisions and compliance obligations.

16. Website Availability and Accuracy

We aim to maintain an accurate, accessible, and functional website. However, uninterrupted availability cannot be guaranteed.

Website content, service descriptions, pricing, resources, and technical features may be modified, temporarily suspended, or updated when reasonably necessary.

We make reasonable efforts to correct identified errors and maintain accurate information.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Rogue Roots Solutions will not be liable for indirect, incidental, special, or consequential losses arising from use of the website or services, including lost profits, lost opportunities, or interruptions caused by third-party platforms.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Any additional service-specific limitations of liability will be governed by the applicable written agreement.

18. External Links and Affiliate Relationships

Our website may display links to third-party websites, products, software, or professional service providers.

Some links or business relationships may involve referral or affiliate arrangements. Where required, material affiliate relationships will be disclosed appropriately.

References to external products or services do not transfer responsibility for their operation, security, or contractual obligations to Rogue Roots Solutions.

19. Privacy

Your use of our website and services may involve the collection and processing of personal information.

Please review our Privacy Policy for information regarding data collection, use, storage, protection, and your applicable privacy rights.

20. Termination of Services

Either party may request termination of an ongoing professional engagement in accordance with the applicable service agreement.

Rogue Roots Solutions may suspend or discontinue services in circumstances involving material breach of contract, nonpayment, unlawful activity, or misuse of professional access, subject to applicable legal and contractual obligations.

Any outstanding balances, completed deliverables, confidentiality requirements, and post-termination responsibilities will be addressed according to the governing agreement.

21. Governing Law and Disputes

These Terms will be interpreted in accordance with the applicable laws of the state in which Rogue Roots Solutions is legally established, subject to any mandatory laws that apply to the customer or transaction.

The parties agree to make a reasonable attempt to resolve disagreements through direct communication before pursuing formal legal remedies, where appropriate.

Any specific dispute resolution arrangements established through a separate written client agreement will apply to that engagement.

22. Changes to These Terms

Rogue Roots Solutions reserves the right to update these Terms periodically to reflect changes in business practices, service offerings, website functionality, or applicable legal requirements.

Updated Terms will be published on this page with a revised effective date.

Changes will not retroactively override an existing signed agreement unless permitted by that agreement and applicable law.
